Important: Hopon is a matchmaking platform only. We do not own, operate, manage, or employ drivers, riders, or vehicles. We do not provide transportation services. We are a neutral marketplace that connects passengers with drivers who have agreed to share their routes. Please read Sections 3, 4, and 6 carefully regarding liability, independent relationship, and assumption of risk.

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Hopon platform, including the Hopon mobile application and website (collectively, the "Service"), operated by Hopon Pakistan ("Company," "we," "us," or "our"). By accessing, downloading, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

3.1 Hopon is Not a Transportation Provider

Hopon does not provide, arrange, or operate transportation services. Hopon is exclusively a peer-to-peer (P2P) digital matchmaking platform that facilitates the connection between Riders and Drivers, provides tools for matching, scheduling, and fare splitting, and does not employ, control, or supervise Drivers or Riders, own any Vehicles, or dispatch or manage any Trips.

3.2 Independent Third Parties

All Drivers and Riders are independent third parties who use the Hopon platform at their own discretion. The relationship between Hopon and all Users is that of a service provider and customer, not an employer-employee or principal-agent relationship.

3.3 User Responsibility for Transportation

By using the Service, Riders and Drivers assume full responsibility for arranging and participating in Trips. Each Trip is entirely between the Driver and Rider(s) who agree to share the journey.

4. Driver Status and Employment

4.1 No Employment Relationship

Drivers are not employees, agents, representatives, or contractors of Hopon. Drivers are independent third parties who retain complete control over whether, when, and where to offer Trips, determine their own schedule, and are responsible for all taxes, insurance, licensing, and regulatory compliance.

Hopon exercises no control over how Drivers operate their Vehicles, the routes Drivers take, the condition or maintenance of Drivers' Vehicles, Driver conduct during Trips, or Driver-Rider interactions or disputes.

5. Rider Obligations and Conduct

5.1 Rider Responsibilities

Riders agree to provide accurate information when booking Trips, treat Drivers and other passengers with respect, follow the Driver's instructions regarding safety and conduct, and report safety concerns immediately to both the Driver and Hopon.

By using the Service and participating in any Trip, you assume all risks associated with: traveling in a Vehicle operated by a third party, being in close proximity to strangers, road accidents, vehicle mechanical failure, and variations in route, timing, and driving behavior.

6.3 No Warranty

Hopon provides the Service "AS IS" without any warranty of safety, reliability, or fitness for any particular purpose, or that any Trip will occur as planned, that Drivers will be available at a particular time, or that Vehicles will be in perfect condition.

6.4 Indemnification

By using the Service, you agree to indemnify, defend, and hold harmless Hopon, its officers, directors, employees, and agents from any and all claims, damages, liabilities, and costs arising from your use of the Service, your participation in any Trip, your interactions with other Users, your violation of these Terms, or any injury or property damage you cause or suffer.

6.5 Release of Claims

To the fullest extent permitted by applicable law, you expressly release and forever discharge Hopon from any and all claims arising out of any Trip or transportation arranged through the Service, the conduct of any User, any accident, injury, death, property damage, theft, harassment, assault, or other incident occurring before, during, or after a Trip. This release applies whether such claims are known or unknown, arising in contract, tort, negligence, statute, or otherwise.

6.6 Limitation of Liability

To the fullest extent permitted by law, Hopon's total aggregate liability arising out of or relating to the Service shall not exceed the greater of: (a) the total service fees paid by you to Hopon during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) PKR 10,000. Under no circumstances shall Hopon be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, loss of profits, loss of data, or emotional distress.

6.7 No Duty to Monitor

Hopon is under no obligation to monitor, supervise, investigate, or verify the conduct of any User, Trip, communication, or activity. Failure by Hopon to monitor, investigate, or take enforcement action regarding any User shall not create liability or constitute negligence.

7. Safety and Verification

7.1 Verification Process

Hopon conducts verification of Users which may include identity verification, contact information verification, license verification, vehicle registration verification, and background checks. However, verification does not guarantee safety, honesty, or reliability. Verification does not constitute an endorsement or guarantee regarding a User's identity, character, or future conduct.

7.2 User Responsibility for Safety

Each User is personally responsible for assessing the safety of any Trip before participation. This includes reviewing ratings and reviews, communicating with the other party before agreeing to a Trip, and declining any Trip if you feel unsafe.

7.3 Emergency and Safety Reporting

If you experience harassment, threats, unsafe driving, or other safety issues:

  1. Exit the Vehicle immediately if safe to do so
  2. Contact local police and emergency services (dial 15 in Pakistan)
  3. Report the incident to Hopon immediately via the app
  4. Preserve evidence (photos, messages, witness information)

7.4 Criminal Acts and Third-Party Conduct

Hopon shall not be responsible or liable for any criminal, harmful, offensive, fraudulent, abusive, violent, threatening, negligent, reckless, or otherwise unlawful acts committed by any User, including assault, sexual assault, harassment, stalking, theft, fraud, property damage, or any other criminal or civil wrongdoing. Users assume all risks associated with interacting with other Users both online and offline.

8. Payment and Fare Splitting

8.1 Fare Calculation

Fares are calculated based on distance, duration, and time of day. Hopon deducts a service fee from each Trip's fare; the remaining amount is paid to the Driver.

8.2 Payment Processing

Hopon uses third-party payment processors for all transactions. Payment information is securely tokenized and encrypted. Hopon does not directly store full credit card information.

8.3 Refunds and Disputes

Refund requests must be made within 7 days of the Trip. Hopon will review Trip history, driver logs, and communications. Refunds are at Hopon's sole discretion. Hopon is not responsible for Driver-Rider disputes over fares.

8.4 Taxes and Statutory Charges

Users are responsible for all applicable taxes on their income (Drivers) or payments (Riders). Users must comply with all tax filing and payment obligations. Hopon is not responsible for tax withholding or compliance for Drivers.

9. Intellectual Property

All intellectual property in the Service — including software, code, algorithms, design, brand names, logos, and trademarks — is owned by Hopon or its licensors. Users have a limited, non-exclusive license to use the Service for personal, non-commercial purposes only. Users retain ownership of their submitted Content (photos, reviews, messages) but grant Hopon a worldwide, royalty-free, perpetual license to use, display, modify, and distribute such Content in connection with the Service.

10. Suspension, Termination, and Enforcement

Hopon may suspend or terminate any User's account immediately and without notice if the User violates these Terms, engages in harassment or dangerous behavior, provides false information, engages in fraud, or Hopon reasonably believes the User poses a safety risk. Specific triggers include three or more documented safety violations, multiple complaints of harassment or discrimination, driving under the influence, or fraudulent account creation.

11. Data and Privacy

For complete information on data collection, usage, and retention, please review the Privacy Policy. Key points: User data is collected for matchmaking, safety, payment processing, and service improvement. Hopon retains photos for 6 months after account deletion to prevent fraud. Users have the right to delete their account and request data deletion, subject to legal obligations. By creating an account, you consent to receive communications from Hopon electronically, including email, SMS, and push notifications.

12. Accident and Liability Procedures

12.1 Accident Reporting

If an accident or injury occurs during a Trip:

  1. Ensure everyone's immediate safety; call emergency services if needed (dial 15 in Pakistan)
  2. Contact local police and file a traffic report if applicable
  3. Exchange insurance information with the other party
  4. Document the scene with photos and witness information
  5. Notify Hopon immediately through the app

12.2 Insurance Responsibility

Drivers are solely responsible for obtaining comprehensive motor vehicle insurance that covers passenger liability. Riders should verify that the Driver's Vehicle is insured before entering. Hopon does not provide insurance and is not an insurer. Insurance claims must be filed directly with the Driver's or Rider's insurance provider.

12.3 No Hopon Liability for Accidents

Hopon is not liable for, and will not compensate for, any injuries or property damage resulting from any accident or incident during a Trip. This includes medical expenses, vehicle repair costs, lost wages, pain and suffering, and wrongful death.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

Mandatory Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration conducted in Islamabad, Pakistan, under the rules of the Pakistan International Arbitration Council. Each party shall bear its own attorney's fees and costs.

Small Claims: Claims for less than PKR 100,000 may be brought in small claims court in Islamabad.

No Class Actions: You agree not to bring or participate in any class action lawsuit against Hopon. All disputes must be resolved on an individual basis.

Age Restriction: The Service is intended only for individuals who are at least 18 years old. By using the Service, you represent that you are at least 18 and legally capable of entering into binding contracts.

14. Modifications to Terms

Hopon reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Hopon will provide notice of material changes via in-app notification and email. Your continued use of the Service constitutes acceptance of modified Terms.

15. Severability and Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Hopon regarding the Service and supersede all prior negotiations, representations, and agreements. If any provision of these Terms is found to be invalid or unenforceable, that provision will be reformed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
